1. Definitions and Acceptance of Terms
Welcome to the service platform of Reshetcall Ltd. (Company ID: 515094852) (hereinafter: the "Company"). This agreement governs your access to and use of our Unified Communications as a Service (UCaaS), Contact Center as a Service (CCaaS), APIs, and voice/textual artificial intelligence bots (Voice/Chat AI Bots) provided by us (collectively: the "Services").
By registering, connecting, or using the Services, you, as a legal entity or an authorized representative of a business customer (hereinafter: the "Customer"), declare that you have read, understood, and agree to be fully bound by these Terms of Service. If you do not agree to these terms, you are not authorized to utilize the Services.
2. License Grant and Restrictions
The Company grants the Customer a limited, revocable, non-exclusive, non-transferable, and non-sublicensable license to access and use the Services during the paid subscription term, solely for its internal business operations and in strict adherence to fair use policies.
The Customer explicitly covenants not to perform the following actions (nor allow any third party to do so):
- Reverse engineer, decompile, disassemble, or attempt to extract the source code of the infrastructure or the proprietary AI models.
- Utilize the Services to build a competitive product or train autonomous voice/text AI models based on system output data.
- Bypass technical restrictions, security protocols, or rate-limiting mechanisms governing the APIs.
3. Acceptable Use Policy & Telecommunications Compliance
Since the Services include telephonic routing, automated dialing, and messaging capabilities, the Customer bears sole and comprehensive liability for the legality of the content transmitted and calls initiated through the platform.
- Anti-Spam & Nuisance Call Prohibition: It is strictly forbidden to use UCaaS, CCaaS, or Voice AI Bots to distribute unsolicited communications (Spam Calls), broadcast promotional materials without explicit prior consent (in violation of applicable Anti-Spam legislation), or perform harassment of any nature.
- Caller ID Spoofing: The Customer agrees to display only telephone numbers that it lawfully owns or has verified, legally documented authorization to use. Misrepresenting caller identities for fraudulent purposes is strictly prohibited.
- Call Recording & Wiretapping Laws: The system facilitates call recording and AI-driven analysis. The Customer is exclusively responsible for procuring all legally required consents (under local wiretapping and privacy laws) from its representatives and third-party participants prior to activating recording features.
4. Emergency Services Disclaimer (E911 / Dialing 100/911)
The Customer acknowledges and agrees that the Services are internet-based (VoIP) cloud technologies and do not substitute traditional landline telephony. In the event of power outages, internet disconnections, or network disruptions, the Services (including virtual agents and bots) will be unavailable. The Services and AI Bots must not be relied upon to route or execute emergency calls to public emergency dispatchers (such as Police, Ambulance, or Fire Departments). The Company disclaims all liability for damages arising from failed emergency call attempts.
5. Special Provisions for Voice AI Bots
- Liability for Bot Outputs: The Customer understands that artificial intelligence engines may occasionally generate incorrect, incomplete, or biased information (commonly referred to as AI Hallucinations). The Company shall not be held liable for any representations, warranties, commitments, or inaccurate data delivered by the AI Bots to third parties or the Customer's end consumers during live calls or chat sessions.
- Verification and Supervision: The Customer maintains exclusive responsibility for designing the conversation flows, "prompts", system guardrails, and knowledge bases utilized by the AI Bots, as well as conducting routine quality control over bot outputs.
- Mandatory Disclosure: The Customer commits that all AI Bots deployed on its behalf will explicitly state to end-users at the initiation of communication that they are interacting with an automated/virtual entity (AI Bot) and will not falsely impersonate a human being, complying with current regulatory guidelines.
6. Intellectual Property & Data Ownership
- Company Intellectual Property: All rights, title, and interests in the Services—including system code, interfaces, proprietary algorithms, AI model weights and architectures, processing methodologies, and statistical metadata derived from service delivery—remain exclusively with Reshetcall Ltd.
- Customer Data: The Customer retains comprehensive ownership over all information, audio recordings, financial records, and textual data uploaded or generated within the platform ("Customer Data"). The Customer grants the Company a worldwide, temporary, royalty-free license to host, process, and analyze Customer Data solely to provide the Services and optimize system runtime for the Customer.
7. Limitation of Liability and Indemnification
The Services, including AI engines and telecommunication trunks, are provided on an "AS-IS" and "AS-AVAILABLE" basis, without warranties or conditions of any kind, whether express or implied.
In no event shall the Company, its directors, or sub-processors be liable to the Customer or any third party for indirect, consequential, exemplary, punitive, or special damages, including lost profits, data corruption, or business interruption resulting from the use or inability to use the platform, even if advised of the possibility of such damages.
The Company's maximum aggregate liability for all claims arising under this agreement shall be strictly limited to the cumulative amount actually paid by the Customer to the Company for the Services in the three (3) months immediately preceding the event giving rise to liability.
8. Termination and Service Suspension
The Company reserves the right to immediately suspend or terminate Customer access to the platform, without prior notice, in instances involving: (a) breaches of the Acceptable Use Policy; (b) failure to settle outstanding invoices on their due date; or (c) reasonable suspicion of fraudulent activity, Caller ID spoofing, or spam generation over our telecommunication channels.
9. Governing Law and Jurisdiction
This Agreement shall be governed exclusively by the laws of the State of Israel. Any dispute, litigation, or claim arising out of or relating to these terms or the usage of the Services shall be submitted to the exclusive jurisdiction of the competent courts in the District of Tel Aviv-Jaffa, Israel.
